CHAPTER 26
STATUTORY COMPANIES.

Debenture stock is transferable in the same manner as other stock of the company. A register of debenture stockholders is kept and is open to the inspection of every mortgagee, bondholder, debenture stock holder, stock- and shareholder of the company, without fee, at all reasonable times. The debenture stock holder is entitled to a certificate stating the amount of his debenture stock. (87)
A debenture stock holder is not a member of the company, and cannot be present or vote at any meeting. (88)

" The holder of debenture stock is a creditor of the company with a security in the assets of the company, though he has not all the rights of an ordinary secured creditor, because some of his rights have been taken away or modified by the Companies Clauses Act, 1863 . . . Debenture stock is borrowed money capitalised for purposes of convenience." (89)
The company must keep separate accounts showing how much money has been received for or on account of debenture stock, and how much money owing on mortgage or bond has been paid off by debenture stock. (90)

WINDING UP
Any company, other than a railway company incorporated by Act of Parliament, may be wound up by the Court as an unregistered ,company under ss. 398 and 399 of the Companies Act, 1948.

Re Portsmouth Tramways Co., [1892] 2 Ch. 362. A tramway company incorporated by Act of Parliament issued debentures. The time for repayment of the debentures expired without their having been repaid, and a debenture holder petitioned for a winding-up order. Held, he was entitled to the order.

If the company was formed for some public purpose, a sale of the undertaking by the liquidator will not be possible without Parliamentary sanction, but this is no bar to the making of a winding-up order. (91)
