CHAPTER 23
VOLUNTARY WINDING UP

The Liquidator.-The creditors and the company at their respective meetings may each nominate a liquidator, but, if different persons are nominated, the person nominated by the creditors is the liquidator, subject to any order made by the Court (s. 294). The liquidator must within fourteen days give notice of his appointment to the Registrar of Companies and publish it in the Gazette (s. 305).

lf different persons are nominated, any director, member or creditor of the company may within seven days of the creditors' nomination apply to the Court for an order that the company's nominee be liquidator instead of or jointly with the creditors'nominee, or that some other person be liquidator.

If there is no liquidator, the Court may appoint one. The Court may also, on cause shown, remove a liquidator and appoint another(s. 304).
The liquidator's remuneration is fixed by the committee of inspection, or, if there is no committee, by the creditors (s. 296). Any vacancy is filled by the creditors (s. 297).
At the end of the first and every succeeding year of the liquidation, the liquidator must summon a general meeting of the company and a meeting of creditors, and lay before the meetings an account of his acts and dealings and of the conduct of the winding up during the preceding year (s. 299).
A final meeting of the company and the creditors must be summoned when the liquidation is completed and the liquidator's account presented. Within a week of the holding of these meetings a copy of the account and a return of the holding of the meetings must be filed with the Registrar. The company is thereupon dissolved within three months of the filing of the account and the returns, as in the case of a members' voluntary winding up (s. 300).

CONSEQUENCES OF VOLUNTARY WINDING UP
The commencement of a voluntary winding up is the date of the passing of the resolution for voluntary winding up (s. 280). Even if the company is subsequently wound up by the Court, the commencement of the winding up is the date of the passing of the resolution (s. 229).
The consequences of a voluntary winding up are:
1. The company ceases to carry on business, except so far as is required for its beneficial winding up (s. 281).
