CHAPTER 23
VOLUNTARY WINDING UP

The liquidator's account and return are registered with the Registrar, and the company is thereupon dissolved within three months of the registration, unless the Court makes an order deferring the date of dissolution.
At any time within two years the Court may declare the dissolution void. Any undistributed property passes to the Crown (see ante, p. 243).

CREDITORS' VOLUNTARY WINDING UP
If no declaration of solvency is filed with the Registrar, the winding up is a creditors' winding up. In such a case the company must summon a meeting of its creditors for the day or the next following day on which the winding-up resolution is to be passed (s. 293).

Notice of the meeting of creditors must be advertised in the Gazette and in two local newspapers circulating in the district in which the company's registered office or principal place of business is situate.

Meeting of Creditors.-The meeting of creditors is presided over by one of the directors nominated by the directors for that purpose. The business of the meeting is:
1. To receive a statement by the directors of the position of the company's affairs, together with a list of the creditors and the estimated amount of their claims.
2. To appoint a liquidator.
3. To appoint a committee of inspection.

Committee of Inspection (s. 295).-The creditors, at their first or any subsequent meeting, may appoint a committee of inspection of not more than five persons. If they do so, the company may appoint not more than five persons to act with them, but the creditors may resolve that these persons ought not to be members of the committee, and thereupon, unless the Court otherwise directs, they cannot act on the committee.

There is no statutory maximum in respect of the number of the committee of inspection in a compulsory liquidation.

The provisions as to meetings of the committee and vacation of membership are the same as in compulsory liquidation.
