CHAPTER 20
WINDING UP BY THE COURT

The object of these meetings is to decide whether to make application to the Court to appoint a liquidator in the place of the Official Receiver, and, if so, whether to have a committee of inspection to act with him.

Appointment of Liquidator (s. 239).-The liquidator is appointed by the Court, on application being made after the meetings of the creditors and contributories have been held. If the two meetings do not agree on the person to be appointed, the Court will decide the difference and make such order as it thinks fit.
The liquidator cannot act until he has given notice of his appoultment to the Registrar of Companies and given security in the prescribed manner to the Board oi Trade (s. 240).
The appointment of a liquidator must be gazetted by the Board of Trade and advertised by the liquidator in such manner as the Court directs, after security has been given (r. 56).

Committee of Inspection (ss. 252, 253).-The committee of inspection is appointed by the Court in the same way as the liquidator. It consists of creditors and contributories or persons holding general powers of attorney from creditors or contributories in such proportions as may be agreed on by the meetings or as, in case of difference, is determined by the Court.
The committee meets at least once a month or oftener if required. The liquidator or any member may summon a meeting when he thinks necessary. The committee acts by a majority of the members present and a majority of the committee constitutes a quorum.
A person ceases to be a member of the committee when:
1. He sends his resignation in writing to the trustee.
2. He becomes bankrupt or compounds with his creditors.
3. He is absent from five consecutive meetings without leave.
4. He is removed by ordinary resolution of the creditors, if he represents creditors, or of the contributories, if he represents eontributories.
A member of the committee of inspection is in a fiduciary position and cannot buy any of the company's property from the liquidator.(35)
