CHAPTER 19
COMPANIES LIMITED BY GUARANTEE AND UNLIMITED
COMPANIES

Notice of any increase beyond the registered number must be given to the Registrar within fifteen days.
The articles of a company limited by guarantee and not having a share capital cannot give any person a right to participate in the divisible profits of the company, otherwise than as a member (s. 21). Every provision in the memorandum or articles purporting to divide the undertaking of the company into shares or interests is treated as a provision for a share capital, notwithstanding that the nominal amount or number of the shares is not specified. The object of this provision is to prevent the registration of companies with shares of no par value.(3)
If the company has a share capital it must make the annual return required by s. 124 (see ante, p. 78). If it has no share capital, it must make an annual return stating (s. 125) :
1. The address of the registered office.
2. If the register of members is not kept at the registered office, the address of the place where it is kept.
3. The particulars of the directors and the secretary, which are required to be kept in the register of directors and secretaries.
4. Particulars of the total amount of the company's indebtedness in respect of all mortgages and charges required to be registered with the Registrar.
If the company has no share capital, a requisition for calling an extraordinary general meeting of the company can be made by the members having one-tenth of the voting rights (s. 132).

UNLIMITED COMPANIES
A company may be registered as an unlimited company, in which case there is no limitation of the members' liability for the debts of the company.
The memorandum and articles are in the form set out in Table E. The company is obliged to have articles (s. 6). If the company has a share capital the amount of the share capital must be registered (s. 7). The name will not, of course, include the word " limited."

An unlimited company, may, under s. 16, register as a limited company, but this does not affect the rights or liabilities of the company in respect of any debt or obligation incurred or any contract entered into before the date of registration.
If the company has no share capital, the provisions of ss. 125 and 132 apply to it.
In 1938 there were 50 unlimited companies registered.
