DEBENTURES

holders present and voting in person or by proxy at a meeting summoned for the purpose is not void (s. 88).
A debenture holder is entitled to be furnished with a copy of the trust deed on payment of the prescribed fee (s. 87).

ISSUE OF DEBENTURES
Debentures cannot be offered to the public unless the form of application is issued with a prospectus (s. 38).
When a prospectus or offer for sale is made in connection with an issue of debentures, the same particulars must be supplied as in the case of an issue of shares.(31)
When the debentures have been issued, the prospectus cannot be looked at to ascertain the contract, but if the contract was intended to be contained in the prospectus and the debenture together, or if the prospectus contains a collateral contract the consideration for which was the taking up of the debentures, the prospectus can be looked at. (32)
Certificates for debentures must be completed and ready for delivery within two months of allotment or of the lodging of a transfer, unless the conditions of issue otherwise provide (s. 80).
Money secured by debentures is not capital but a debt due from the company; consequently there is no objection to the issue of debentures at a discount.
When debentures are issued at a discount, or any commission or allowance has been paid to any person in consideration of his subscribing for debentures, particulars of the amount of the discount must be sent to the Registrar. The omission to do this does not affect the validity of the debentures. The deposit of debentures as security for a debt of the company does not, for this purpose, amount to the issue of debentures at a discount (s. 95).
A contract to take up debentures may be enforced by specific performance (s. 92). Apart from the section, an agreement to grant debentures made in consideration of an actual advance of money puts the lender in the same position as if the debentures had actually been granted.
