AUDITORS

fraud, oppression of part of the members, misconduct of the management or failure to give to the members reasonable information as to the company's affairs.
It is the duty of all officers and agents of the company (which includes bankers, solicitors and agents) to produce to the inspectors all books and documents of or relating to the company which are in their custody and to give the inspectors every assistance (s. 167).
The inspectors can examine on oath the officers and agents of the company in relation to its business. On the conclusion of their investigation, they report to the Board of Trade, and a copy of the report is sent to the company's registered office and, by request, to the applicants. Criminal proceedings may follow and if fraud, misconduct or oppression is found, the Board of Trade may present a petition for the winding up of the company (s. 168).
The Board of Trade may appoint inspectors to find out who are the persons financially interested in the success or failure of the company or able to control or materially influence the policy of the company. Without appointing inspectors, the Board of Trade may require any person interested in shares or debentures of the company or who has acted as the solicitor or agent of someone interested in them to give information as to the present and past interests in those shares or debentures and the names and addresses of the persons interested (s. 173). A solicitor is not bound to disclose any privileged communication, except the name and address of his client, and bankers cannot be compelled to disclose any information of any of their customers' affairs except the affairs of the company (s. 175).
If the Board of Trade find unwillingness on the part of the persons concerned to disclose the relevant facts about any shares or debentures, they may, subject to an appeal to the Court, by order direct that the shares or debentures shall be subject to restrictions. The restrictions prevent transfers, the exercise of voting rights, the right to any issue of future shares or debentures, and the right to a dividend or other payment, except in a liquidation (s. 174).
