CHAPTER 13
MEETINGS

A special resolution is one passed at a general meeting
(a) when 21 days notice has been given,
(b) when the notice specifies the intention to propose the resolution as a special resolution, and
(c) by a majority of three-fourths of the members voting in person or by proxy (s. 141).
There must be twenty-one clear days notice, exclusive of the day of service and of the day on which the meeting is to be held. A provision in the articles that the day of service is to be included in the number of days notice to be given does not apply to notice of a special resolution. (14) Less than twenty-one days notice maybe given, if it is so agreed by a majority in number having the right to attend and vote at the meeting, being a majority holding not less than 95 per cent. in value of the shares (s. 141 (2)).

Unless a poll is demanded, a declaration of the chairman, in the case of extraordinary and special resolutions, that the resolution is carried is conclusive evidence of the fact, without proof of the number or proportion of the votes recorded in favour of or against the resolution (s. 141). If, however, the declaration of the chairman is fraudulent or shows on the face of it that the proper majority has not been obtained, it is not conclusive.

Re Caratal (New) Mines, Ltd., [1902] 2 Ch. 498. A special resolution was put to, the meeting. The chairman then said, "Those in favour, 6; those against, 23; but there are 200 voting by proxy and I declare the resolution carried." Held, the declaration was not conclusive, and the resolution was not passed.

The chairman can put a resolution to the meeting without its being seconded, unless the articles prohibit it. Any amendment pertinent to the subject-matter of the resolution which is brought forward, must be voted upon. If the chairman refuses to put an amendment, properly brought forward, to the meeting, the resolution, if passed, is r.ot binding.(15) An amendment cannot be moved if it goes beyond the notice convening the meeting.
A printed copy of every extraordinary and special resolution must be forwarded to the Registrar within fifteen days of its being passed, and a copy must be embodied in every copy of the articles subsequently issued (s. 143).(16)
A resolution passed at an adjourned meeting is deemed to have been passed on the actual date on which it was passed, and not on the date of the original meeting (s. 144).
