DIRECTORS

a resolution passed at a general meeting of which special notice is given, stating their age. The articles may alter the age limit or provide that directors shall not be obliged to retire on reaching any age. A person who is appointed (not re-appointed) a director of a company to which s. 185 applies when he has reached the retiring age, whether fixed by the Act or the articles, must give notice of his age to the company (s. 186).
The articles usually provide for the vacation of office by directors on the happening of certain events. Table A, Art. 88, provides:

" The office of director shall be vacated, if the director
" (a) ceases to be a director by virtue of s. 182 [this is the section providing that
qualification shares must be taken up within two monthsl or s. 185 [the age
limit section] of the Act; or
" (b) becomes bankrupt or makes any arrangement or composition with his creditors generally; or
" (c) becomes prohibited from being a director by reason of any crder made under s. 188 of the Act [restraining fraudulent persons from managing companies]; or
" (d) becomes of unsound mind; or
" (e) resigns his office by notice in writing to the company; or
" (f) shall for more than six months have been absent without permission of the directors from meetings of the directors held during that period."
An undischarged bankrupt must not act as director of a company without the leave of the Court by which he was adjudged bankrupt, under penalty of six months' imprisonment or a fine of £500 (s. 187).

On an application for leave to act as director, notice must be given to the official receiver, who can oppose the application if he is of opinion that it is contrary to the public interest.
When the articles provide that a director shall vacate his office if he absents himself from board meetings for a certain time, the office will not be vacated if the absence is involuntary, as where the director is ill and unable to travel. (7) On the other hand, if the director is absent because his doctor has advised that his health will be benefited by going abroad, the office will be vacated. (8)
On the happening of any of the events mentioned in the articles, the vacation of office is automatic, and the board of directors has no power to waive the offence or condone the act. (9) Similarly, on the resignation of a director the office is automatically vacated, so that the resignation cannot be withdrawn without the consent of the company. (10)
