Re T. N. Farrer, Ltd., [1937] 1 Ch. 352. The articles appointed F. governing director for his life, or until he should resign or be removed by a special resolution of the company. The company went into voluntary liquidation. Held, F.'s employment was conditional on the continued existence of the company and ceased automatically when it was wound up, so that F. could not claim damages for breach of contract.

Power may be given to a particular person or company to nominate one or more directors; this is often done in the case of subsidiary companies.

If the articles contain power for a director to assign his office to another, the assignment is of no effect until it is approved by a special resolution of the company (s. 204).

Register of Directors and Secretaries (s. 200).-A company must keep a register of its directors and secretaries at its registered office. The register must contain the name and any former name, the address, the nationality and business occupation of each director, together with particulars of any other directorships held (except directorships of companies of which the company is the wholly-owned subsidiary, or which are wholly-owned subsidiaries either of the company or of another company of which the company is the wholly-owned subsidiary) and the date of his birth (except in the case of a private company which is not a subsidiary of a public company). Within fourteen days of the appointment of the first directors or of any change in the directors, particulars must be sent to the Registrar. The register is open to inspection by members without fee and by others on payment of one shilling.

Unless exemption is granted by the Board of Trade, the name and any former name and the nationality, if not British, of each director must be stated in all trade catalogues, trade circulars, sho%ecards and business letters issued by the company, if the company was registered after November 23, 1916, and whether it is a public or a private company (s. 201). In 1938 there were 20 convictions for this offence.

Register of Directors' Shareholdings (s. 195).-Every company must keep a register showing the number, description and amount of the shares or debentures in the company or its subsidiaries or holding company or that company's subsidiaries, held by or in trust for each director or of which each director has the right to become the holder. The date and price of each transaction after July 1, 1948, must also be shown. The register is open to the inspection of members and debenture holders for a period beginning fourteen days before and ending three days after the annual general meeting, and it must also
