A trustee of shares who is entered on the register is personally liable to the company for any calls or other obligations attaching to the shares. He is, however, entitled to an indemnity from the beneficiary, not only out of the trust property, but to the full extent of his indebtedness in respect of the shares. (38) The company cannot put the beneficiary on the list of contributories, but it can, through the trustee, enforce the trustee's right to an indemnity. (39)
A purchase of shares in the name of a nominee, even if an infant or - a man of straw, is legal. In such a case the company cannot go behind the nominee to the beneficial owner.

In re National Bank of Wales, Ltd., [1907] 1 Ch. 582. M. and G., a firm of stockbrokers, bought shares which were registered in the name of L., their clerk. L. was an infant. On the company's going into liquidation, the liquidator applied that bT. and G.'s names might be substituted for that of L. in the register of members and the list of contributories. Held, the application failed, as there was no contractual relation between the company and M. and G.

If a person applies for shares in a fictitious name, or in the name of a person who has never agreed to accept the shares, rectification of the register can be obtained so as to place the name of the real owner upon the register. (40)
If the company claims a lien on the shares of any of its members, whether by virtue of a provision in the articles or otherwise, it will be affected by notice of any prior charge it has received. In such a case the notice is not notice of a trust, but is a notice to the company as a trader of a third party's interest in the shares. (41)

Dominion Register (s. 119).-If the objects of a company comprise the transaction of business in any part of His Majesty's dominions outside Great Britain, the company can keep a branch register (called a " dominion register ") of its members resident in that part. Notice must be given to the Registrar of the situation of the office where the dominion register is kept within fourteen days of the opening of the
