MEMBERSHIP OF A COMPANY

Inspection of Register.-The register and the index are to be kept at the company's registered office but if the register is made up at another office of the company it may be kept there and if it is made up by an, agent it may be kept at his office. If the company is registered in England the register cannot be kept outside England or if registered in Scotland, outside Scotland. The index must be kept at the same place as the register. When the register is not kept at the registered office, notice must be given to the registrar of the place where it is kept. During business hours the register and the index are to be open to the inspection of any member without charge, and of any other person on payment of one shilling, or less if the company so prescribes. The company is bound to furnish, either to a member or to any other person, a copy of any part of the register on payment of sixpence for every hundred words (s. 113). A person inspecting the register. has no right to take extracts from or make copies of the register.(33) The right of inspection terminates on the winding up of the company. (34)
The company may, on giving notice by advertisement in some newspaper circulating in the district in which its registered office is situate, close the register for any time not exceeding thirty days in each year (s. 115).

Rectification of Register.-The register of members is prima facie evidence of any matters directed by the Companies Act to be inserted in it (s. 118). It can, however, be rectified on application being made, to the Court, if
1. the name of any person is, without sufficient cause, entered in or omitted from the register; or
2. default is made or unnecessary delay takes place in entering on the register the fact of any person having ceased to be a member.

The Court, on such application, can not only order rectification of the register, but also payment by the company of any damages sustained. by any party aggrieved (s. 116). The order can be made even if the company is being wound up.

In re Sussex Brick Co., [1904] 1 Ch. 598. B., a transferee of shares in a company,. sent in his transfer for registration, but, by mistake, registration of the transfer was omitted. The company then went into liquidation with a view to reconstruction, and B., thinking that he was on the register of members, served the liquidator with notice of dissent to the scheme. The liquidator disregarded the notice on the ground that B. was not a member. Held, there was such " default or unnecessary delay " as entitled B. to rectification of the register.
