THE PROSPECTUS

person whose profession gives authority to a statement made by him, the expert must give his written consent to the inclusion of the statement in the prospectus and the fact that he has done so must appear in the prospectus.

When Prospectus is not Required.-It is not necessary to issue a prospectus complying with the provisions set out above when:
1. Shares or debentures are offered to the existing share or debenture holders (s. 38 (5));
2. The issue relates to shares or debentures uniform with shares or debentures previously issued and dealt in or quoted on a prescribed,' stock exchange (s. 35 (5));
3. A person is invited to enter into an agreement to underwrite the issue of shares or debentures (s. 38 (3));
4. The shares or debentures are not offered to the public (s. 38 (3)).

Relaxation of Requirements of Contents of Prospectus (s. 39).When it would be unduly burdensome to comply with the requirements of the Fourth Schedule, because of the size and other circumstances of the issue, and the number and class of persons to whom the offer is to be made, compliance may be relaxed. This can only be done if application is made to a prescribed stock exchange for permission for the shares to be dealt in or quoted. If the application is granted a certificate of exemption is given and publication of the particulars and information required by the stock exchange, on an application being made for the shares or debentures to be dealt in or quoted, is deemed to be a compliance with the Fourth Schedule.

OFFERS FOR SALE
When the company allots shares or debentures with a view to their being offered for sale to the public by third parties-usually an issuing house-the dccument by which such offer is made is known as an offer for sale and is deemed to be a prospectus (s. 45).
The offer for sale must (s. 45) :
1. Set out all the details required to be inserted in a prospectus. 2. State the net amount of the consideration received by the
