THE PROSPECTUS

who have not received it, or if it is the domestic concern of the persons making and receiving it (s. 55). For instance, the distribution of 3,000 copies of a prospectus headed " for private circulation only " to shareholders of gas companies was held a distribution to the public. (1)

ISSUE OF PROSPECTUS.
No prospectus must be issued unless on or before the date of publication a copy is delivered to the Registrar for registration (s. 11):
1. Signed by every person named in it as director or proposed
director or his agent authorised in writing. 2. Having endorsed on or attached to it
(a) any consent to its issue required from an expert (post, p. 45) ;
(b) when the prospectus is issued generally (i.e., to non members or non-debenture holders);
(i) a copy of any material contract (post, p. 44);
(ii) when the persons making the reports referred to on p. 44 have made adjustments, a signed written statement by them setting out the adjustments and the reasons therefor.
The Registrar cannot register the prospectus unless these conditions are complied with. The issue of a prospectus before it is registered is punishable by a fine of £5 a day. '
Every prospectus issued by or on behalf of a company must:
1. Be dated (s. 37).
2. State on the face of it that a copy has been delivered to the Registrar for registration.
3. Specify any documents required to be endorsed on or attached to the copy delivered for registration (s. 41).

Although a prospectus must be an invitation to the public, it is not quite clear whether it is required to be issued to the public before an offence against s. 38 is committed, or whether an issue to one person is sufficient. It is submitted that the
view of Lord Sumner,2 that "it is difficult to think of a prospectus being issued without some measure of publicity, however modest," is correct.
The result of this is that a director cannot say that the prospectus was issued without his knowledge or that he was ignorant of the
