CHAPTER 4
REGISTRATION OF A COMPANY

3. Conspicuously exhibit on every place where it carries on business in Great Britain, its name and the country in which it is incorporated.
4. Cause its name and the country in which it is incorporated to be stated in legible characters in all billheads and letter paper, and in all its notices and other official publications.
5. If the liability of its members is limited, cause notice of that fact to be stated in legible characters in every prospectus, and in all billheads, letter paper, notices and other official publications in Great Britain, and to be affixed on every place where it carries on its business (s. 411).

Compliance with these provisions is enforced by a penalty of £5O or, in the case of a continuing offence, £5 a day during the continuance of the default, imposed on the company and every officer or agent of the company (s. 414).

As companies incorporated abroad have, at common law, no restriction upon their trading, selling shares or issuing capital in Great Britain, these provisions are aimed at preventing companies from evading the stringent provisions of the Companies Act by becoming incorporated abroad.
An oversea company which has complied with the requirements of s. 407 set out above has the same power to hold lands in the United Kingdom as if it were incorporated under the Companies Act, 1948 (s.408).

COMMENCEMENT OF BUSINESS
A private company can commence business immediately on incorporation.
A public company cannot commence business or exercise anv borrowing powers until some further formalities have been complied with. These are (s. 109) :
1. Where a prospectus has been issued inviting the public to subscribe for shares,
(a) the minimum subscription has been subscribed (see Chap. 6) ;
(b) every director has paid on his shares a proportion equal to the proportion payable on application and allotment on the shares offered for public subscription;
