REGISTRATION OF A COMPANY

partners and the firm's debts are the debts of each of the partners, but in a company both its assets and liabilities are the assets and liabilities of the company and not of the shareholders.

COMPANIES INCORPORATED OUTSIDE GREAT BRITAIN
Companies which are incorporated outside Great Britain, but establish a place of business within Great Britain (called in the Act " oversea companies "), must within one month of the establishment of the place of business deliver to the Registrar of Companies for registration (s. 407) :
1. A certified copy of the charter, statutes or memorandum and articles of the company, or other instrument defining the constitution of the company, and, if the instrument is not written in the English language, a certified translation of it.
2. A list of the directors and secretary, with the same particulars as are required in the case of an English company.
3. The name and address of a person resident in Great Britain authorised to accept, on behalf of the company, service of process and notices.
A place of business includes a share transfer or share registration office (s. 415); but a company which only employs agents within Great Britain, and has no office, has not established a place of business. (6)
If any alteration is made in any of the matters set out above, the company must, within the prescribed time, deliver particulars of those alterations to the Registrar (s. 409).
Every such company must also :
1. Every calendar year make out a balance sheet and profit and loss account in the same form, and containing the same particulars as an English company is required to make out, and deliver it to the Registrar for registration. If the balance sheet is not written in English, a certified translation must be annexed (s. 410).
2. In every prospectus inviting subscriptions for shares or debentures in Great Britain, state the country in which it is incorporated.
