CHAPTER 2
THE MEMORANDUM OF ASSOCIATION

voting rights and the right to participate in the assets in a winding up. These are usually contained in the articles and were formerly contained in the memorandum because they could then only be altered under a scheme of arrangement with the approval of the Court (s. 206). Now, however, any condition contained in the memorandum which could have been contained in the articles may be altered by special resolution, unless the memorandum itself provides for 'or prohibits its alteration (s. 23). The same provisions as to application to the Court for cancellation of the alteration apply as in the case of the alteration .of the objects clause (p. 18), except that the debenture holders have no right to apply. This power of alteration does not authorise any variation or abrogation of the special rights of any class of members, which can only be done as explained in Chapter 9.

THE ASSOCIATION CLAUSE
This is the clause by which the subscribers to the memorandum declare that they desire to be formed into a company and agree to take the shares opposite their respective names. It is usual for each subscriber to sign the memorandum for one share only. This is because the subscriber may by contract be bound to take up a definite number of shares in the company, and if he has signed the memorandum for that number he might be bound to take twice the number he intended, once under his contract, and again under the memorandum.
