THE MEMORANDUM OF ASSOCIATION

where documents can be served on it. A company need not, and very frequently does not, carry on its business at its registered office. There is nothing, for example, to prevent a company with a registered office in England from carrying on its business abroad.
Liability to British income tax is quite independent of the company's country of incorporation, and depends on its " residence." The test of residence is not registration, but where the company does its real business, and where the central management and control actually abide. (10) A company, for this purpose, may have more than one place of residence; (11) and a company registered in England may be resident abroad. (12)
Registration fixes the nationality of the -company. Its effect is " to make the new company amenable to English law and English law Courts, and to give it the status of an English company." (13) Any alteration in the company's constitution can, consequently, only be carried out according to English law.
A document can be served on a company by leaving it at or -sending it by post to the registered office of the company. If a company registered in Scotland carries on business in England, the process of any Court in England can be served at the principal place of the company's business in England, a copy being posted at the same time to the registered office (s. 437).

The following must be kept at the registered office:
1. The register of members and the index, unless the register is made up elsewhere, when it may be kept where it is made up, or is kept by an agent, when it may be kept at the agent's office (s. 110).
2. Copies of every instrument creating any charge requiring registration (s. 103).
3. The register of charges (s. 104).
4. The minute books of general meetings (s. 146).
5. The register of directors and secretaries (s. 200).
6. The register of directors' holdings of shares and debentures (s. 195).
