THE MEMORANDUM OF ASSOCIATION

necessity of (1) having " Limited " as part of its name, (2) publishing its name, and (3) sending lists of members to the Registrar of Companies.

Change of Name (s. 18).-A company can change its name by special resolution, and with the approval of the Board of Trade signified in writing. If, by inadvertence, the name is too like that of an existing, company, it can be changed with the sanction of the Board of Trade and must be changed if the Board so direct within six months of its. being registered. Whenever a company changes its name a new certificate of incorporation is issued by the Registrar, and the company retains its old name until the new certificate is issued. (8)
The Board of Trade will grant a licence on being satisfied with the reasons for the change. As a condition of its approval, it may require the company's objects to. be altered.
The change of name does not affect any rights or obligations of the company or any legal proceedings by or against the company.

Publication of Name by Company (s. 108).-Every company must:
1. Paint or affix its name on the outside of every place
its business is carried on, in a conspicuous position, in letters easily legible ;
2. Engrave its name on its seal;
3. Mention its name in legible characters in all business letters of the company and in all notices and other official publications, and in all bills of exchange, promissory notes, cheques, orders for goods, bills of parcels, invoices, receipts and letters of credit. Fines are imposed on the company and its officers for noncompliance with this requirement.

If a director, officer of the company, or any person on its behalf i) authorises the use of a seal on which the company's name is not agraved, or (b) signs any bill of exchange, cheque or order for money r goods without mentioning the company's name, he is liable to a. ne of £50 and, in addition, he is personally liable to the holder of the ill of exchange, cheque, or order for its amount, unless it is paid by .ie company.
